1. Ownership of the Website

Pursuant to Article 10 of Law 34/2002 of 11 July on Information Society Services and Electronic Commerce (hereinafter, “LSSI”), we hereby inform you that the website https://www.sdverdia.com (hereinafter, the “Website” or the “Portal”) is operated by the company SCHLAICH DAUSS VERDIA S.L.P. (hereinafter, “SD VERDIA”), with Tax Identification Number (N.I.F.) B-25.892.233, pending registration with the Commercial Registry of Barcelona, with registered office at Passeig de Gràcia, 54, 3rd floor, C, 08007, Barcelona, and email address info@sdverdia.com.

For the purposes established in the same Article 10 of the LSSI, it is expressly stated that the lawyers of SD VERDIA practise their profession having obtained their professional qualification in Spain or Germany and are all duly registered with the Barcelona Bar Association or the Madrid Bar Association, unless expressly stated otherwise. Our professionals are governed by the applicable regulations for the practice of law, including, among others, Royal Decree 658/2001 of 22 June on the Statute of the Spanish Legal Profession and the Regulations governing professional law firms of the Barcelona and Madrid Bar Associations.

 

2. Conditions of Use of the Website

Access to and use of the Website are subject to the following conditions of use. We recommend that you read them carefully. Access to and use of the Website (including the information and documentation contained therein) implies that the user thereof (hereinafter, the “User”) has read and accepts, without any reservation, these conditions of use (hereinafter, the “Conditions of Use”), including all instructions and/or recommendations that supplement said Conditions of Use.

The Portal contains information and documents prepared by SD VERDIA for exclusively informational purposes (hereinafter, the “Material”). The User of the Website should bear in mind that such Material may not reflect current legislative and/or case law developments and may be modified, developed or removed without prior notice.

The User acknowledges that the Material available on the Portal may not, under any circumstances, be considered a substitute for legal advice or advice of any other nature. Access to the Material by the User does not constitute or imply any relationship between SD VERDIA and the User, and the User acknowledges that they should not act on the basis of the Material contained on the Website, as it does not constitute professional advice in any way.

Access to the Website is free of charge, without prejudice to the cost of connection through the telecommunications network provided by the access provider contracted by the User, for which SD VERDIA is not responsible.

The User undertakes not to use the Website for fraudulent purposes, nor to engage in any conduct that could damage the image, interests or rights of SD VERDIA or third parties, and undertakes to make diligent, proper and lawful use of the Website and its Materials.

In the event of breach by the User of this Legal Notice, or if SD VERDIA has reasonable suspicions of a possible breach, SD VERDIA reserves the right to limit, suspend or terminate the access of such breaching User to the Website, adopting any technical measures necessary for such purpose. Likewise, SD VERDIA may at any time decide on the continuity of the services provided through the Portal.

 

3. Limitation of Liability

The User acknowledges and accepts that they use the Portal at all times under their own risk and responsibility. Consequently, SD VERDIA shall not be liable for any misuse or improper use of the Portal by the User. Likewise, SD VERDIA shall not be liable for any errors or omissions that may exist in the Material available on the Website.

In particular, SD VERDIA shall not be liable for:

    • The content of websites linked through the links available on the Website. For further information, please refer to section 4 of this Legal Notice.
    • Any damages of any kind caused to the User’s software and hardware by viruses, worms, trojans or any other harmful element. In any case, it is the User’s responsibility to have appropriate tools available (antivirus software, firewall) for the detection and removal of harmful computer programs, as the User acknowledges and is aware that the use of the Internet involves a risk to the security of their software and hardware.
    • Any damages of any kind suffered by the User as a result of failures or disconnections in telecommunications networks that cause the suspension, cancellation or interruption of the Website service. The User acknowledges that SD VERDIA is not responsible for such failures and that access to the Portal requires services provided by third parties beyond the control of SD VERDIA, whose reliability, quality, continuity and operation are not attributable to SD VERDIA.

 

4. Linked Sites (Links)

With regard to the technical linking devices (links) contained on the Website through which the User may be redirected to third-party websites, SD VERDIA shall be considered an intermediary service provider in accordance with Article 17 of the LSSI. Consequently, SD VERDIA shall only be liable for the content and services provided through the links to the extent that it has actual knowledge of their unlawfulness and has not acted diligently to disable the link. The User may notify SD VERDIA of the existence of links with unlawful or inappropriate content by sending an email to info@sdverdia.com
. However, such notification shall not entail the mandatory removal of the corresponding link.

Likewise, SD VERDIA assumes no responsibility for the content of the links, nor for the terms of use and privacy policies of the websites to which such links lead.

The User, and in general any natural or legal person who intends to establish a link from their website or web page to the Portal, must obtain prior written authorisation from SD VERDIA. Under no circumstances shall the establishment of such a link imply the existence of a relationship between SD VERDIA and the owner or holder of the website or web page on which the link is established, nor the acceptance or approval by SD VERDIA of its content and/or services.

In any event, SD VERDIA reserves the right to prohibit or disable links to the Portal at any time, especially in cases where the activity or content of the website or page in which the link is included is unlawful.

 

5. Intellectual and Industrial Property

The intellectual and industrial property rights over the Material (including, among others, texts, graphics, photographs and videos), the elements and their arrangement on the Website, the graphic design of the Website, the distinctive signs (trademarks and trade names), and the underlying computer programs (including source codes), are the exclusive property of SD VERDIA or SD VERDIA holds sufficient rights for their use and exploitation. All contents and elements contained on the Portal constitute works protected by the intellectual and industrial property legislation in force in Spain.

Access to and/or use of the Website by the User does not in any way imply the transfer of intellectual and/or industrial property rights over the Portal, the Material and/or the distinctive signs of SD VERDIA. With the exception of cases expressly provided for by law, the reproduction, transformation, distribution, public communication, making available, extraction and/or reuse of the Website, its Material and other elements and/or the distinctive signs of SD VERDIA by the User is expressly prohibited.

 

6. General Provisions

The use of the Website shall be governed by and interpreted in accordance with Spanish law. Likewise, by using the Website, the User accepts and agrees that any conflict or dispute arising between the User and SD VERDIA shall be submitted to the competent courts and tribunals in accordance with applicable legislation.

In the event that any of the provisions contained in this Legal Notice is declared null and void, it shall be removed or replaced. In any case, such declaration of nullity shall not affect the validity of the remaining provisions contained in this Legal Notice.
